1. Definitions

In these Terms and Conditions:

• "We," "Us," "Our" refers to Gracewood, a residential care home located in Phuket, Thailand
• "Services" refers to residential care, companionship programs, and craft activities offered by Gracewood
• "Resident" refers to individuals receiving care services from Gracewood
• "Family Member" or "Representative" refers to authorized individuals acting on behalf of a Resident
• "Agreement" refers to the service contract entered between Gracewood and the Resident or their Representative
• "Website" refers to our online presence accessible at gracewesss.cyou

2. Acceptance of Terms

By using our Services or Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are entering into an Agreement on behalf of a Resident, you represent that you have the legal authority to do so.

Residents and their Representatives must be at least 18 years of age or have legal capacity to enter into binding agreements under Thai law.

3. Service Description

Gracewood provides residential care services for seniors in Phuket, Thailand, including:

• Daily Living Companionship: Personal care assistance, light housekeeping, and daily support
• Craft & Community Program: Artisan-focused activities and social programming
• Inclusive Residential Package: Full residential care including accommodation, meals, and comprehensive support

Detailed service descriptions, inclusions, and pricing are provided in individual service agreements. We reserve the right to modify service offerings with reasonable notice to current Residents.

4. Service Enrollment and Assessment

Enrollment in Gracewood services requires:

1. Initial consultation to assess needs and determine appropriate service level
2. Completion of health and preference questionnaires
3. Review and signing of service agreement by authorized Representative
4. Payment of initial fees as specified in the service agreement

We reserve the right to decline enrollment if we determine our services are not suited to an individual's needs or if we cannot safely accommodate specific requirements.

5. Payment Terms

5.1 Fees and Billing

Service fees are quoted in Thai Baht and are subject to the rates specified in your service agreement. Monthly fees are due on the first day of each month. Payment methods accepted include:

• Bank transfer to designated Gracewood account
• Credit or debit card (processing fees may apply)
• Cash payment at our facility

5.2 Late Payments

Payments received after the 5th of the month will incur a late fee of 5% of the monthly charge. Continued non-payment may result in suspension of non-essential services or termination of the Agreement.

5.3 Refund Policy

Monthly fees are non-refundable once the billing period begins. If a Resident departs mid-month, fees for the remainder of that month are still due. Initial deposit fees may be refundable within the first 7 days if services have not yet commenced, minus administrative costs.

6. Resident Responsibilities

Residents and their Representatives agree to:

• Provide accurate health information and updates regarding changes in condition
• Treat staff members and other Residents with respect and courtesy
• Follow facility guidelines regarding safety, visitor policies, and community living
• Notify Gracewood promptly of any concerns or issues
• Maintain open communication with assigned caregivers and management
• Ensure emergency contact information remains current

7. Our Responsibilities

Gracewood commits to:

• Provide services as described in the service agreement
• Maintain a safe, clean, and respectful environment
• Assign consistent caregivers to build relationships with Residents
• Communicate regularly with Family Members regarding Resident well-being
• Coordinate with healthcare professionals when appropriate
• Respect cultural preferences and individual dignity

8. Medical Care and Health Services

Gracewood provides companionship and daily living support but is NOT a medical facility. We do not provide medical treatment, nursing care, or specialized healthcare services. Residents requiring medical attention will be coordinated with external healthcare providers. Families are responsible for medical expenses not covered by insurance or other arrangements.

In medical emergencies, we will contact emergency services and designated family contacts. We may share relevant health information with emergency responders as necessary for treatment.

9. Termination

9.1 Termination by Resident or Family

Either party may terminate services with 30 days written notice. Fees for the notice period remain due. Personal belongings must be removed from the facility within 14 days of departure.

9.2 Termination by Gracewood

We may terminate services immediately if:

• Payment obligations remain unfulfilled after 30 days notice
• Resident behavior poses safety risks to staff or other Residents
• Resident's care needs exceed our service capabilities
• Terms of the Agreement are materially breached

In cases of termination due to changing care needs, we will provide reasonable assistance in identifying alternative care arrangements.

10. Limitation of Liability

Gracewood provides services with reasonable care and diligence. However, we are not liable for:

• Loss or damage to personal property unless caused by our negligence
• Injuries resulting from Resident's own actions or pre-existing conditions
• Delays or service interruptions caused by circumstances beyond our control (natural disasters, government actions, etc.)
• Outcomes of medical conditions or healthcare decisions made by external providers

Our total liability for any claims arising from services shall not exceed the amount of fees paid for services in the six months preceding the claim.

11. Privacy and Confidentiality

We maintain strict confidentiality regarding Resident information in accordance with our Privacy Policy and Thai data protection laws. Personal information is used only for service delivery, family communication, and necessary administrative purposes. For complete details, see our Privacy Policy.

12. Intellectual Property

All content on our Website, including text, images, logos, and design elements, is the property of Gracewood or used with permission. You may not reproduce, distribute, or create derivative works from our Website content without written authorization.

13. Website Use

When using our Website, you agree not to:

• Attempt to gain unauthorized access to our systems
• Transmit viruses or malicious code
• Use automated systems to access the Website excessively
• Misrepresent your identity or affiliation
• Collect user information without consent

14. Disclaimers

Our Services are provided on an "as is" basis. While we strive for high-quality care, we make no guarantees regarding specific health outcomes, social relationships, or activity participation levels. Individual experiences vary based on personal health, preferences, and circumstances.

15. Indemnification

You agree to indemnify and hold Gracewood harmless from claims, damages, or expenses arising from your breach of these Terms, violation of laws, or infringement of third-party rights.

These Terms are governed by the laws of Thailand. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes will be subject to the jurisdiction of Thai courts in Phuket Province.

17. Changes to Terms

We may update these Terms and Conditions periodically. Changes become effective upon posting to our Website. We will notify current Residents and Representatives of material changes via email or written notice. Continued use of services after changes indicates acceptance of updated Terms.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. Unenforceable provisions will be modified to the minimum extent necessary to make them valid.
